Title of the journal the article was published in and date published: This article was published in the journal entitled Behavioral Neuroscience in February 2009. The journal is published by the American Psychological Association. Describe the topic and the experiment conducted. What did they do? The article noted that in related studies, the RhoA/ROCK/Rac pathway is involved in the cognitive processes. Thus, they postulated that if this pathway could be inhibited, learning and memory can be enhanced. The article explained that fasudil has been used in experiments for the treatment of vasospasm and angina but not for learning and memory. Hydroxyfasudil is an active metabolite of fasudil. The study subjects were 27 rats who were 17 months old and 18 months old at the time of actual behavioral testing. Specifically, the study used Fischer-344 male rats who were bred at the aging colony of the National Institute on Aging at Harlan Laboratories (Indianapolis, IN). All the rats were acclimatized before the actual experiment according to IACUC standards and all the procedure done were with the approval of the local IACUC committee. NIH standards were followed. The study was done in Arizona State University. The study grouped the rats into three experimental groups. The first group of rats received saline and was labeled as the ââ¬Å"aged vehicleâ⬠group. The second group received 0. 1875 mg hydroxyfasudil and was labeled as the ââ¬Å"aged low doseâ⬠group. The third group received 0. 3750 mg hydroxyfasudil and was labeled as the ââ¬Å"aged high doseâ⬠group. Of the 27 rats, nine belonged to the ââ¬Å"aged vehicleâ⬠group, another nine rats in the ââ¬Å"aged low doseâ⬠group, and another nine rats in the ââ¬Å"aged high doseâ⬠group. Since hydroxyfasudil has a half-life of around 5-7 hours in humans, the drugs were all administered in the morning before behavior testing was done. All injections were given by subcutaneous injection at the scruff of the neck of the rat. All experimenters who performed the behavioral testing and succeeding dissections of the ratsââ¬â¢ brains were blind to the respective treatment groups of the rats. The behavioral testing used the Water Radial Arm Maze to test working and reference memory, and the Spatial Reference Memory Morris Maze to test for spatial learning and memory. The performance of the rats in these two mazes were compared and used as basis as to whether cognitive functions were enhanced or not with the administration of hydroxyfasudil. Summarize the most important results. What did they find and what does that mean? 4 pts The results of the behavioral testing done using the water radial-arm maze, the ââ¬Å"aged high doseâ⬠group was superior in all measures evaluated: learning index scores for total errors, working memory correct errors, and working memory incorrect errors. Better learning was indicated by having a higher learning index. Aged high doseâ⬠group showed better learning on all three measures. The groupââ¬â¢s learning index when compared to the ââ¬Å"aged vehicleâ⬠group was significantly higher. As for the ââ¬Å"aged low doseâ⬠group, it still had a higher learning index when compared to the ââ¬Å"aged vehicle groupâ⬠but only marginally for the working memory incorrect errors. For the other two m easures, the group still had a higher learning index but no longer marginally, but intermediate between the ââ¬Å"aged high doseâ⬠and ââ¬Å"aged vehicleâ⬠groups suggesting that the relationship may be dose-dependent. Another important result noted was that hydroxyfasudil did not significantly alter spatial reference memory performance in either maze. 5) What implications do these results have for future research? What should they look at next? The implications of study would mean that if hydroxyfasudil can inhibit events that influence cognition, the next step would be to confirm this in result in a larger number of mice or even in rabbits. They should also look into the side effects of hydroxyfasudil and a good start would be to look for the same side effects found in its parent compound which is also being currently studied. ) Does this study reveal anything that could be useful to society (the general population, not science), and if so, what is it? This study showed that if hydroxyfasudil does improve cognitive function by improving spatial learning and memory, then science has found another possible answer to age-related or neurodegenerative-related memory dysfunction. To put it simply, hydroxyfasudil, if safe and effective in improving spatial learning and memory, will help patients who suffer from age-related or neurodegenerative-related memory dysfunction. ) What are some possible confounds or errors that this study should have controlled for, but did not? Essentially, what would make this a better study? In my opinion, this study was a good one with very negligible confounders. One thing that might have made the study better though was the possible side effects of hydroxyfasudil on the short term and also long term. 8) What did you learn that you did not know before? What did you find most interesting? I found that fact that such a drug as hydroxyfasudil being a possible treatment for those suffering from age-related memory dysfunction, fascinating. I did not know this until I read this article. If it is indeed a possible cure, many people all over the world would live a better life in their advanced age since their memory will serve them better and they will depend less on their children and thus, have a less likely chance of being placed in homes just because families have difficulty caring for them.

Doctrine of Ultra Vires Effect on Malaysian Company Law Discuss the doctrine of ultra vires and its effect in Malaysian Company Law. According to s18 Contract Act 1965, every company formed should have a memorandum printed and divided into paragraph and with the date stated. In s18 (b) Contract Act 1965, it shows that the requirement of the Memorandum of Association (M/A) required a statement of object clause. The object clause can be used to describe the nature of the business such as manufacturing business, merchandising business or service business. Besides, it also show the company power, its purpose and the legal capacity of the company.[1] Furthermore, the purpose of the object of M/A should be lawful as stated in s14 (1) Company Act 1965. The consequence of unlawful purpose and incompatible to peace, welfare, security, public order, good order or morality in Malaysia will be Registrar of Company will refuse for the registration of the company as followed to s16(8)(a) Company Act 1965. As it has been stated that object of M/A function as recognize the legal capacity of the company, in the same time, it has limited the company which it require the company to act based on the statement. If the operation of the company is different with the object of M/A, ultra vires will be recognized. Ultra means ââ¬Å"beyondâ⬠whereas vires means ââ¬Å"powerâ⬠where ultra vires happened when an act is against the object clause. Although the company want to ratify the act, the act is void at initio. This can be further explained by the common law and statue. However, if the company wants to prevent ultra vires, the company must alter the object clause. There are certain requirement as stated s28 Company Act 1965. In s28 (1) Company Act 1965, it stated that alteration can be made based on a special resolution. Besides, by holding this special resolution, members and debentures holder of the company should be given 21days of notification to the special resolution as according to s28 (2) Company Act 1965. Common Law The doctrine of ultra vires under common law refers to the rules that company must act within their objects clause that is stated in the memorandum of association. Any activity that is outside from the company capacity is void. Neither the company nor the third party could enforce this. In other words, ultra vires act is void and the contract cannot be ratified even if the company wishes to. Under common law, the companyââ¬â¢s contract is void due to internal or external context. Externally, when a third party contracting with a company, if the contract was not fulfill the objects of company that stated in memorandum of association, then the contract was ultra vires and void. Internally, if the company and the director enter into an ultra vires contract, the company may immediately stop the act of the director and claim damages from the director who breach his fiduciary duties by entering into the contract which is outside from the companyââ¬â¢s capacity. If the company could n ot fulfill the main object in their memorandum, then they would have to be wound up. According to Ashbury Railway Carriage Iron Company v Riche (1875) LR 7HL 653, the case stated that the companyââ¬â¢s objects in their memorandum was to make, sell and hire railway carriages. The company entered into contract with Riche and the contract was approved by the shareholders at general meeting, then the company agreed to give Riche and his brother a loan to build a railway in Belgium. After that, the company changed their mind and refused the agreement. Riche sued the company. The court held that the construction of a railway was ultra vires, because construct a railway was not stated in their companyââ¬â¢s memorandum of association. Thus, the contract is void because the construction of a railway is outside from the company capacity. Furthermore, since it is outside from the company capacity, so the company could not ratify the contract. Therefore, ultra vires exist and the contract is void even if all of the shareholders approved the contract. From Ashbury Railway Carriage case, we can see that the company could not sue or be sued by the third party for not performing the contract. This is because the contract is null and void. Thus, the company could avoid for not performing the contract and could not be sued by the third party because it is outside form the companyââ¬â¢s capacity. Although it seems unfair for the other party but the object clause of a company is available at public for inspection. The other party should have checked whether the company has the capacity to enter into contract with them or not. Need to say if company itself can sue the director and SH? Shareholders pay less concerned on the corporation on how the director corporate as long as the business generates dividend to them. However this will put the creditor in high risk. This is because if the creditors credit sales the goods and services to the particular company, and the company has insolvent in later dates, the creditor could not claim any debts. Common law stated that an ultra vires act is null and void to protect the member or the creditors of the company who has invested the money into the company and expect the investment is only used for the companyââ¬â¢s business. According to Cotman v Brougham (1918) A.C. 514, the objects clause of company contained 30 sub clauses, however, the first sub clause stated the company to develop rubber plantations. In the fourth clause, it empowered the company to deal in any shares of any company. Besides, the memorandum also stated that each sub clauses acts as the independent objects for the company. The company underwrote and had allotted to it shares in an oil company. After that, the oil company wound up and their company was on the list of contributories. The question arose is that whether this is intra vires the companyââ¬â¢s objects. The court held that the 30 independent object clause in the rubber companyââ¬â¢s memorandum was an independent. Hence, the power to deal with the share in an oil company was within the legal power. Therefore, the company is liable for the underwriting. From the Cotman case, the company did not clearly specify the main object where constitution of Memorandum are not limited by using plain business language. Companies could no longer avoid a contract based on the grounds that it was beyond the company objects which they have been done in the traditional ultra vires doctrine. This has increased a wider range of object clauses in the Memorandum as a result of each sub clause is independent which are not interrelated with the main clause. Hence, the object are not restricted to review on the main clause. This has rendered the companies to introduce a standard type of object clause to render almost all potential commercial objectives intra vires. Position under Companies Act 1965 According to s20 (1) of Companies Act 1965, any act or transfer of property that made by the company shall not be invalid with the reason that company dont have the power or capacity to do act. The effect for this section is transaction will become irrelevant with the fact that the company did not have the capacity to enter into it, even though a certain transaction is otherwise valid. Besides, the company can sued or be sued as acts against its object clause. In order to protect the interest of the shareholders and creditors, s20 (2) Companies Act 1965 has provided the remedies to restrain the ultra vires act. According to s20 (2) (a) Companies Act 1965, company is liable if a member of the company or the company itself has issued the debentures are available with a floating charge. The shareholders and debenture holders can sue the company for the taking any action outside the company and they can claimed the compensation from it. Besides, it also stated that the relief of s20 Companies Act 1965, the ultra vires only apply to specific person and not an outsider as refer to Pamaron Holdings Sdn Bhd v Ganda Holdings Bhd [1988] 3 MLJ 346. According to Pamaron Holdings Sdn Bhd v Ganda Holdings Bhd case, the Plaintiff and the Defendant entered into an agreement for sale and purchase of shares in a private limited company. The Defendant defaulted in the payment of the purchase price and the plaintiff applied for summary judgment against it. In opposing the application, the defendant proclaim that among the transaction was ultra vires the plaintiff company. Allowing the application, the court held that under s.20 a person other than a debenture holder or the minister may not raise ultra vires. The defendant being an outsider and not a debenture holder or the minister had no right under the section. The Defendant was liable for not being able to settle the payment of the purchase price. The Defendant also didnt purcha se any shares or debentures from the Plaintiff Company, thus it cannot raise ultra vires. Defendant should purchase the shares or debenture from the plaintiff in order for the defendant have the right to raise ultra vires. From this case, only the person that are sufficient proximate to the company can apply ultra vires. Ultra vires is an action This act will only available to the contract that has been entered, yet to be completed as refer to the Hawkesbury Development Co Ltd v Landmark Finance Pty Ltd ( 1969 ) 2 NSWR 786. According to Hawkesbury Development Co. Ltd v Ladmark Finance Pty Ltd case, Plaintiff holds all of the shares in the Landmark Finance Pty Ltd. Landmark Finance has issued two debentures to United Dominion Corp (UDC). A request has been sent to court by Plaintiff about declaring both debentures to be invalid due that it is a company object ultra vires. Plaintiff also request that the court to prohibit the enforcement of UDC of the debentures. However, application that request by the plaintiff is rejected and the approval of court to void the declaration of the UDC had failed to be obtained. Due that the plaintiffs are the shareholders of the Landmark Finance, the application should make to Landmark Finance instead of UDC is a third party. If the company is make the act of ultra vires by issuing the debentures to the outsiders, the shareholders or debenture holders have the right to sue the company. However, s20 (2) (a) Companies Act 1965 does not given its protection to debentures holders that secured by float charge and creditors who did not have any charge. According to s20 (2) (b) Companies Act 1965, officers are personally liable for any action taken by member of the company or the company itself. The shareholders or the company itself can sue the officers either former or current that who committed any Ultra Vires transactions which must be completed and realized. However, if any law suit against the officer will not affect the validity as stated in s20 (1) CA 1965, the act will be valid to the ground. According to s20 (2) (c) Companies Act 1965, any petition that may conducted by the Minister to the court to wind up the company that had committed ultra vires actions. The court will conducted its discretion when the company has changed the business totally from its original business. According to s20 (3) Companies Act, if any party has suffered any damage or loss due to the unauthorized act or transfer is yet to be performed and to be restrained under s20 (2) Companies Act 1965, the parties who have sustained the damage can be compensated. By comparing the common law and Companies Act 1965, under the doctrine of ultra vires, it is prefer to go for common law. This is because, under common law, the act of ultra vires is null and void, so the company could avoid for not performing the contract which is outside from their capacity. Besides, the company could not sue or be sued by others party just because they did not perform the contract. However, under the Companies Act 1965, it provides completed transactions remain valid as between the company and the third party and both of the party may sue each other. Letââ¬â¢s compare the case of Ashbury Railway Carriage Iron Company v Riche under common law and the case of Hawkesbury Development Co Ltd v Landmark Finance Pty Ltd under Companies Act 1965, we can see that under Ashbury case, the ultra vires are meant to protect the company by voiding the contract because it is outside the companyââ¬â¢s capacity. The other party could not sue the company although they had ent ered into the contract because ultra vires exist. Whereas, under the Hawkesbury case, the plaintiff failed to declare the debentures to the third party although it is a company object ultra vires because the plantiff are the shareholders of the Landmark Finance and it should make declaration to Landmark Finance instead of the third party. Conclusion For under the common law, the contract entered by the director of the company or the company itself is ultra vires, the contract is considered void due that it is beyond the companys capacity to perform it. If the contract made by the company with the third party is not fulfill the objects of the company that stated in memorandum of association also considered as ultra vires thus become void. When the contract has become void, the company could not sue or be sued by the third party for not performing the contract. For under the Companies Act 1965, any act that made by the company cannot be declared as invalid by using incapable to perform the act as an excuse. The transactions still remain valid between both the company and the third party that they may able to sue or be sued by each other. Thus, both companies and the third party should consider the capabilities of the company to perform the any act from the contract in order to avoid any ultra vires that may happen and cause the loss to the creditors, shareholders, debenture holders or any related parties. Along with products, the advertising industry sells the intangible: ââ¬Å"Ads sell a great deal more than products. They sell values, images, and concepts of success of worth, love and sexuality, popularity, and normalcy. They tell us who we are and who we should be. Sometimes they sell addictionsâ⬠(Kilbourne, Beauty and the Beast). When the average person is bombarded by 2,000-3,000 ads a day (Kilbourne, address), it is impossible to remain unaffected by the aforementioned concepts and stereotypes (Still Killing Us Softly, video). Ads use insecurities to promise betterment with the purchase of a certain product. They are breeding grounds for stereotypes; most, if not all, are negative. They provide impossible body images for women to strive towards, and sadly, many women do. The repercussions of these images and stereotypes are quite serious. The female body image is distorted, and many women and girls, in effort to reach the distorted image, develop serious eating disorders. The perpetuation of sex in ads creates a casual attitude towards sex. Sex is used to sell almost anything: from lingerie to makeup, perfume to food and household items. Advertising tells viewers that if they arenââ¬â¢t sexy, they are not acceptable. The female body is repeatedly objectified in advertising, and whenever a human is turned into a thing, violence is going to follow. Rapes and beatings often result from the dehumanization of women (Still Killing Us Softly, video). Advertising creates unhealthy and even dangerous stereotypes and mindsets in the people of todayââ¬â¢s society. à à à à à Advertisements play upon peopleââ¬â¢s insecurities, promising the viewer that, with the help of the product in question, the viewer can become a better person. There are many insecurities taken advantage of, but the most obvious and frequent is beauty. Women are strongly affected by this. After all, how could they not be when media is promoting a body type thinner, taller, and sexier than their own? Less than 10% of the female population is genetically able to be as thin and tall as the women used in the ads (about-face.org). Advertising sells an impossible image for most women. The Sins of the Father What happens to children severely traumatized or neglected during the first years of life? This is an infinite topic, so the focus of this exploration will be limited to three personality disorders. The symptoms of these personality disorders are diagnosed in adulthood, but their roots lie in the first 4 years of life. Erikson's growth stages of trust vs. mistrust and autonomy vs. self-doubt will form the foundation for understanding. When a child is exposed to abusive, pathological parenting during these development stages the result is often a personality disorder. Personality disorders are enduring patterns of perception, which are maladaptive and cause significant functional impairment and/or subjective distress according to the Diagnostic and Statistical Manual of Mental Disorders, edition 4. These disorders affect approximately 3% of our population and the number is probably significantly higher, except that many go undiagnosed. These people often suffer extraordinarily thro ughout an entire lifetime and cause a great deal of suffering to those who love and interact with them. It is my intent to provide a general understanding of the people afflicted with these disorders. But more importantly, the causes that take place during infancy so that possibly some day the diseases can be eradicated. I will begin with the infant who is unable to be successfully fed and soothed at birth. Infants have very minimal needs but each need is crucial. The failure to meet any of these needs causes significant difficulty in adulthood. Infants are completely helpless; a tiny baby is unable to think for itself. Almost all feelings are intense and require adult intervention to help the infant manage the intensity. Lastly, the infant has absolutely no physical ability to do anything for itself including any mobility. Take a moment to try and imagine total helplessness and dependency on another for everything, hunger, comfort, warmth, communication and even the ability to calm oneself. An infant is born in a symbiotic state in which it is unable to differentiate between itself and the primary care giver. This is the foundation of trust. The caregiver must anticipate the needs of the infant and be able to interpret non-verbal clues, since the infant has no verbal communication skills. Wal-Mart was founded in 1962 by Sam Walton (1). Wal-Mart grew to two hundred seventy-six stores in their first decade of service (1). Wal-Martââ¬â¢s plan was to sale products at low cost while delivering on outstanding service and customer relations (1). Wal-Mart also felt that they could target more customers if they offered convenient hours of business (1). Wal-Mart currently operates in fifteen countries around the world, supplying different needs, preferences and services depending on local retail habits (2). By servicing each geographic location in its own way and supplying the needs of a particular area they seem to do very well (2). Wal-Mart adjusts and adapts to local culture and serves the community in a way that the customers are accustomed to being served (2). Wal-Mart usually enters a foreign country by purchasing an existing chain and simply changing the name to Wal-Mart while retaining key personnel such as management who already know the culture (2). Wal-Mart spends lots of time researching and planning before entering a new market. It sometimes takes years to open in a new market overseas (Class notes). First they try to learn the culture, language, and habits of the citizens of a certain culture. Then they study the products which seem to do well in each different are and try to target these products for these cultures at low prices worldwide (Class notes). In the past two decades Wal-Mart has taken advantage of the internet technological advances to change the way many companies do business worldwide (3). The sheer size of Wal-Mart enables the company to buy in bulk at lower prices allowing the discount retail prices given to customers (3). Wal-Mart is able to by all products in great volumes and in return their supplier cuts some of the cost due the amount of product sold. Wal-Mart has great marketing and management plans before entering a market which allows the company to do very well in many different countries and cultures (3). Wal-Mar t has also had a hand in helping manufactures realize the advantages of customer satisfaction through quality (3). Despite all of Wal-Martââ¬â¢s international success they have also learned some valuable lessons, mainly in South Korea and probably the biggest debacle of all, Germany (Class notes). When Wal-Mart originally decided to move into Germany in 1997 the potential for success seemed quite promising (4). It was in the early 19th century when immigration of Chinese started in US and the history witnesses both hardship and success for them. In the early years Chinese could get employment as laborers for construction of railroads and in mining industry. But these immigrants had to face the racial discrimination by the local people always. There had been lot of changes in the law of Chinese immigration and there were times when mixed marriages were also banned. There were all kinds of people in society but most of them were against these immigrants as they thought they have come to snatch their job pportunities. Those who were in need of cheap labor favored these immigrants and it was again in 1940s that Chinese immigrants started to come to US. Now the situation is that they are almost 1% of the total population although majority lives the life of middle class there. Most of the Americans treated Chinese as aliens and this discrimination made Chinese live with a distance from them They wore their traditional dress along with the little round hats. Usually these immigrants were poor farmers and in order to work and make money they left their wives and children in China and came to US. They even borrowed money from relatives or moneylenders to pay for the voyage to US. Some of the agencies that needed labors paid for their voyage and that was deducted from their wages later. In this way these immigrants reached US only for the need of a job to fulfill the requirements of their family members. As these were from rural China they faced many kinds of difficulties like language problem, as they didnââ¬â¢t even understand English along with the racial discrimination. The trade relationship of China with New York in the beginning of the nineteenth century rought many Chinese traders in US. The discovery of gold in California caught the main attraction and Wei Long, a small farmer set on a voyage to US. The first thing that came into Weiââ¬â¢s mind was to collect money for his voyage and for this he tried his relatives. Most of them had their own family problems or were already in debt. Lastly Wei had to go to a moneylender and borrow money for his voyage with a promise to repay him as soon as he gets a job. He left his wife with a small child in the village and went to California on the ship that sailed with many more Chinese men. Wei had a dream of aving his own gold mines and become rich as soon as he can. He dreamt of returning back to China with lots of money and solving all the problems in his family. When he reached California, he had to find any kind of work so that to support his living and also thought of saving some for his dream. After peripatetic search for job he got one in Central Pacific Railroad Company. Since the Union Pacific Railroad Company, the chief rival of Central Pacific, was heading fast and prospering, the Central Pacific started hiring Chinese laborers and this is how Wei got a job to carry on. He along with other Chinese laborers were paid quite less than the white laborers but no one had another choice than to accept the most difficult jobs that were offered to them. Wei was quite scared when he first saw the job but with the power of his dream collected and started working. He had to stand in wicker baskets that were lowered with the help of ropes and he had to drill holes in the granite rocks. Then put dynamite in the hole lit the fuse and immediately after this he was lifted up. So many times he thought if there was a few econds of mishandling or late in pulling him up he would have been blown into pieces with the rocks. He had seen many of his fellow workers who either died or lived handicapped. Days and months passed and Wei got employment because Chinese immigrants used to work hard in quite less money and they moved faster than the expectations of their employers. Wei was able to save some money and tried business many times but due to racial discrimination he lost all his money. After trying and loosing his money he thought of just saving some money and go back to his hometown. But this was a difficult task as he immigrants had to face a lot of difficulty to get legal permission for returning back home. However he had started living in Chinatown and was feeling a little bit comfortable with the feeling that he was with his countrymen. It was more than five years and he desperately wanted to go back to his family and his home in Guangdong. He could not buy a house apart from Chinatowns. It was not because there was any kind of law against it but the social discrimination never let him do so. He somehow managed to return back home but he had to sign on papers that he would come back and work for the man who helped him in returning.
